MEMBERSHIP AGREEMENT

Please read the following agreement carefully before registering on our website.

1. Parties

a) Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa (hereinafter referred to as the "Seller"), residing at Kazım Karabekir Mh. Genç Osman Cd. No:45A Darıca / Kocaeli, operating the website www.toptan.seymanaturel.com.tr. b) The internet user who registers on the website www.toptan.seymanaturel.com.tr ("Member").

2. Subject of the Agreement

The subject of this Agreement is to determine the terms and conditions under which the Member shall benefit from the website www.toptan.seymanaturel.com.tr owned by Zekiye Karabuğa.

3. Rights and Obligations of the Parties

3.1. The Member declares and undertakes that the personal and other information provided while registering on the website www.toptan.seymanaturel.com.tr is accurate before the law, and that they will indemnify Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa in full and immediately for any damages incurred due to the untruthfulness of such information.

3.2. The Member cannot give the password assigned to them by www.toptan.seymanaturel.com.tr to any other person or organization; the right to use the said password belongs exclusively to the Member. Therefore, Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa reserves all rights to claim compensation and other legal remedies arising from unauthorized use against any liability, claims, or demands that may be brought against Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa by third parties or authorized authorities.

3.3. The Member accepts and undertakes to comply with legal regulations and not to violate them while using the website www.toptan.seymanaturel.com.tr. Otherwise, all legal and criminal liabilities to arise shall bind the Member completely and exclusively.

3.4. The Member shall not use the website www.toptan.seymanaturel.com.tr in any way that disrupts public order, violates general morality, disturbs or harasses others, for illegal purposes, or in a manner that infringes upon the intellectual and copyright properties of others. Furthermore, the Member cannot engage in activities (spam, viruses, trojan horses, etc.) and operations that prevent or hinder other users from using the services.

3.5. The opinions, thoughts, and personal views declared, written, and used by members on the website www.toptan.seymanaturel.com.tr belong entirely to the members and bind the author. These views and opinions have no connection or affiliation with Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa. Zekiye Karabuğa has no liability for damages that third parties may suffer due to the opinions and views declared by the member, or for damages that the member may suffer due to opinions and views declared by third parties.

3.6. Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa shall not be responsible for the unauthorized reading of member data or for any damages to member software and data. The Member has agreed in advance not to claim any compensation from Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa for any damages they may incur due to the use of the website www.toptan.seymanaturel.com.tr
 

3.7. The Member agrees not to access or use the software and data of other internet users without authorization. Otherwise, the legal and criminal liabilities arising therefrom shall belong entirely to the Member.

3.8. A member who violates one or more of the articles listed in this membership agreement shall be personally responsible, both criminally and legally, for such violation and shall keep Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa free from the legal and criminal consequences of these violations. Moreover, in the event that the incident is brought to the legal field due to this violation, the right of Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa to claim compensation against the member for non-compliance with the membership agreement is reserved.

3.9. Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa has the right to unilaterally delete the member's membership, files, documents, and information belonging to the customer at any time when necessary. The Member accepts this action in advance. In this case, Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa bears no responsibility.

3.10. The software and design of the website www.toptan.seymanaturel.com.tr are the property of Zekiye Karabuğa, and their use belongs to Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa. Copyrights and/or other intellectual property rights regarding these are protected by relevant laws and cannot be used, acquired, or changed by the member without permission. Other companies and their products mentioned on this website are trademarks of their respective owners and are also protected under intellectual property rights.

3.11. For the purpose of improving and developing the website www.toptan.seymanaturel.com.tr and/or within the framework of legal regulations by Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa, certain information may be collected, such as the name of the internet service provider and Internet Protocol (IP) address used to access the site, the date and time of access to the site, the pages accessed while on the site, and the internet address of the website that provided direct connection to the site.

3.12. In addition, to ensure ultimate security, the user must procure their own virus protection system and provide the necessary protection. 3.14. Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa reserves the right to change the content of the site at any time, change or terminate any service provided to users, or delete user information and data registered on the website www.toptan.seymanaturel.com.tr

3.15. Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa may change, update, or cancel the terms of the membership agreement at any time without the need for any prior notice and/or warning. Every amended, updated, or repealed provision shall be effective for all members as of the date of publication.

3.16. The parties accept and declare that all computer records belonging to Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa shall constitute sole and exclusive evidence in accordance with Article 287 of the Code of Civil Procedure (HUMK) and that these records constitute an evidentiary contract.

3.17. Pursuant to this membership agreement, Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa has the authority to send informative emails to the e-mail addresses and informative SMS to the mobile phones registered by its members; the member is deemed to have accepted the sending of informative emails to their e-mail address and informative SMS to their mobile phone by approving this membership agreement.

4. Termination of the Agreement

This agreement shall remain in effect until the member cancels their membership or their membership is canceled by Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa. Şeyma Naturel Bitkisel Gıda Zekiye Karabuğa may terminate the agreement unilaterally by canceling the member's membership in the event that the member violates any provision of the membership agreement.

5. Settlement of Disputes

Istanbul Courts and Enforcement Offices are authorized for any disputes regarding this agreement.

6. Entry into Force

The member completing the membership registration means that the member has read all the articles in the membership agreement and accepted the articles contained therein. This Agreement has been concluded and mutually entered into force at the moment the member becomes a member.
